Terms of Service

Adanima is an AI-powered advertising platform. Eight specialized AI agents — including a Brand Strategist, Market Researcher, Creative Director, Copywriter, Media Buyer, Deployment Engineer, Performance Analyst, and Compliance Reviewer — collaborate to research, create, deploy, and optimize advertising campaigns on your behalf.

The Service supports campaign management across Meta (Facebook/Instagram), Google Ads, TikTok Ads, and Microsoft Advertising (Bing Ads). Available platforms depend on your subscription tier.

The Service is provided "as is." While our agents work to optimize campaign performance, we do not guarantee specific advertising results, conversion rates, or return on ad spend.

By using the Service, you agree to:

• Accurate information. Provide truthful and complete business information, including company name, website, industry, and target audience details.
• Platform compliance. Ensure that your business, products, and services comply with the advertising policies of all connected platforms (Meta, Google, TikTok, Microsoft). You are responsible for any policy violations arising from the nature of your business or the content you approve.
• Valid credentials. Maintain valid, active ad account credentials for all connected platforms. If credentials expire or are revoked, campaigns cannot be deployed or managed until access is restored.
• Content approval. Review and approve AI-generated ad creatives, copy, and targeting before deployment. Once you approve content for deployment, you accept responsibility for that content.
• Lawful use. Use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including advertising, consumer protection, and data privacy laws.
• Account security. Keep your login credentials secure. You are responsible for all activity that occurs under your account.

Subscriptions. The service plan is $50 USD per month and includes 3,500 service credits for research, creative, campaign management and reporting. Subscriptions automatically renew each month unless cancelled. Invited customers may create an account and preview a first campaign without payment.

Payment processing. All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. You authorize us to charge your selected payment method for recurring subscription fees and any one-time top-ups you initiate.

Service credits and advertising funds. Service credits reset after each paid renewal, do not roll over, and cannot be used for advertising. New service work pauses at the allowance limit; work already underway may finish without an additional charge. Advertising funds are purchased separately, pay for advertising and the disclosed ad-spend fee, and roll over. They do not replenish service credits.

Existing subscriptions. Subscriptions purchased under the previous shared-wallet offer keep their existing grant and balance terms. Your Billing page identifies the offer that applies to your account.

Refund policy. Subscription fees are non-refundable. If you cancel mid-cycle, you retain access to the Service and your remaining spend balance through the end of your current billing period. Unused legacy wallet balance may be applied as account credit toward future subscriptions but is not refundable as cash.

Your content. You retain all rights to the business information, brand assets, and other content you provide to the Service. AI-generated ad creatives, copy, images, and campaign materials produced by the Service on your behalf belong to you. You may use, modify, and distribute them without restriction.

Our platform. The Service, including its software, AI agents, algorithms, interfaces, documentation, and underlying technology, is and remains the property of Nereus Data. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service.

To the maximum extent permitted by law:

• Ad platform actions. We are not liable for actions taken by advertising platforms, including account suspensions, ad disapprovals, policy enforcement, or changes to platform terms or algorithms.
• Campaign performance. We do not guarantee specific campaign outcomes, including impressions, clicks, conversions, or return on ad spend. AI optimization is probabilistic and results vary.
• Third-party services. We are not liable for outages, data loss, or service interruptions caused by third-party providers, including Stripe, advertising platforms, or cloud infrastructure providers.
• Indirect damages. In no event shall Nereus Data be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity.

Liability cap. Our total aggregate liability under these Terms shall not exceed the total fees you have paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.

By you. You may cancel your subscription at any time from your dashboard or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. We request 30 days' notice for orderly wind-down, but it is not required.

By us. We may suspend or terminate your account with 30 days' written notice. We may terminate immediately, without notice, if you materially breach these Terms, engage in fraudulent activity, or use the Service in a way that violates applicable law or jeopardizes the security of the platform.

Effect of termination. Upon termination, active campaigns will be paused and your ad platform credentials will be deleted. Your account data, campaign history, creative assets, and performance reports will remain available for export for 90 days following termination. After 90 days, this data will be permanently deleted.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction and venue of such courts.

We may modify these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree with the modified Terms, you may cancel your subscription before the changes take effect.
